These Terms of Use (Terms) govern access to and use of Zorentia Product Studio, including the web application, project-planning and generation tools, public-by-link project pages, research invitation features, downloadable or desktop tools made available by Zorentia, and related services (together, the Service).
By creating an account, using the Service, or accepting these Terms when prompted, you agree to these Terms. If you use the Service through a school, university or other organisation, additional institutional terms may apply.
1. Who we are
The Service is provided by Zorentia Product Studio Pty Ltd (ABN 86 688 343 482) (Zorentia, we, us, our), an Australian company based in New South Wales.
2. Eligibility and age
2.1 Minimum age
You must be at least 13 years old to create or use a Zorentia account. We do not require your date of birth. We may ask you to confirm whether you are aged 13-17 or 18 or older so that the correct account and purchasing rules apply.
2.2 Users aged 13-17
A person aged 13-17 may use a free individual account and may use an account provisioned through an eligible institution, subject to these Terms and the Young Person Privacy Notice.
An individual user aged 13-17 cannot personally enter into a paid individual subscription with Zorentia. An adult parent or legal guardian must complete the purchase and accept the Guardian Paid Account Terms.
2.3 Institution-provisioned users
Where a school, university or other institution provisions your access, the institution is the contracting customer for that institutional access. Your use is also subject to reasonable rules notified by the institution and the applicable Institutional Agreement. Institution-provisioned access does not require the consumer guardian purchase flow described in section 2.2.
3. Your account
You must provide accurate information that Zorentia asks for and keep your access credentials secure. Zorentia generally uses email as the principal human account identifier and does not require a student name, postal address, phone number or date of birth for ordinary student accounts.
You are responsible for activity performed through credentials issued to you, except to the extent the activity results from Zorentia's breach of these Terms or applicable law. If you believe your credentials or account are compromised, use the recovery process or contact Zorentia promptly.
You must not sell, transfer or share credentials except through collaboration or access-sharing features expressly provided by Zorentia.
4. What Zorentia provides
Zorentia provides tools that help users plan, build, understand, review and launch software projects. Depending on the product or plan, the Service may include project planning, AI-assisted generation, generated source files, architecture or database outputs, public project pages, research feedback tools, deployment guidance and security analysis.
The Service is a tool for learning, planning and software development. It is not a substitute for independent professional, legal, financial, cybersecurity or engineering advice where that advice is required.
For institution customers, Zorentia's progress, milestone and engagement indicators are administrative product indicators. They are not academic grades, competency determinations or formal assessments unless an institution separately chooses to use its own processes to assess student work.
5. AI-assisted features
5.1 AI outputs require review
AI and automated systems can make mistakes. Generated code, plans, architecture, SQL, security findings, recommendations and other outputs may be incomplete, inaccurate, insecure, non-unique or unsuitable for your intended use. You are responsible for reviewing and testing outputs before relying on, deploying or publishing them.
5.2 No guarantee of uniqueness or intellectual-property protection
AI-generated material may resemble material generated for other users and may not qualify for copyright or other intellectual-property protection in every jurisdiction. Zorentia does not guarantee that an output is unique, copyrightable or non-infringing.
5.3 Security scans
If you choose to use a Zorentia IDE or security-analysis feature, selected project or source-code information may be transmitted to Zorentia to perform the scan. A security scan is an aid, not a guarantee that software is secure or free of vulnerabilities. The Privacy Policy explains the associated data handling.
6. Your content and generated outputs
6.1 Your content
You retain ownership of the content, project information, source material and other material you submit to the Service (Your Content), subject to any rights belonging to another person.
You grant Zorentia a limited, non-exclusive licence to host, copy, transmit, process and display Your Content only as reasonably necessary to provide, secure, maintain and support the Service, comply with law, and enforce these Terms.
Zorentia does not obtain ownership of Your Content merely because you use the Service.
6.2 Generated outputs
As between you and Zorentia, and to the extent Zorentia has any transferable rights in an output generated specifically for you, Zorentia assigns those rights to you on creation, subject to:
- third-party and open-source licences;
- rights in material supplied by you or another person;
- applicable AI-provider terms and technical limitations; and
- the possibility that copyright or other rights may not arise in AI-generated material.
Nothing in these Terms transfers Zorentia's rights in the Service itself, its software, templates, prompts, systems, branding or general know-how.
7. Public project pages
Projects are private by default. A project becomes publicly accessible only when an authorised user deliberately publishes it.
Published project pages are designed to be public by direct link, not a public social feed or directory. Zorentia takes technical steps to discourage search-engine indexing, but cannot guarantee that a third-party search engine, archive, cache or recipient will not copy or retain publicly available material.
Before publishing, you must remove personal, confidential or private information that should not be public. Do not publish another person's private information without appropriate authority.
Zorentia may unpublish or remove public content where reasonably necessary to address safety, legal, intellectual-property, privacy, security or platform-abuse concerns. Where practicable, Zorentia will act proportionately and will not terminate an entire account merely because a public page needs to be removed.
8. Public feedback
Public landing-page feedback is designed to be anonymous by default and by design. Zorentia does not provide student project owners with a public-feedback respondent's name, email, phone number, IP address or technical visitor identifier through that feature.
Respondents must not intentionally put contact details or other unnecessary personal information into public-feedback text. Zorentia may use reasonable technical controls to block or moderate obvious contact information, spam or harmful content.
9. Research invitations
Zorentia may allow you to send research or feedback invitations to people whose email addresses you provide.
You may use this feature only where the recipients have agreed to be contacted for that research. You must not use it for unsolicited marketing, spam, purchased lists, scraping, mass promotion or unrelated commercial campaigns.
You must comply with applicable electronic-messaging laws, including the Spam Act 2003 (Cth) where it applies. Zorentia may enforce sending limits, suppression lists and opt-outs, and may suspend invitation functionality where reasonably necessary to prevent abuse.
Research invitation functionality is not a customer-relationship-management or marketing-list service.
10. Acceptable use
You must comply with the Acceptable Use Policy, which forms part of these Terms. In particular, you must not use Zorentia to:
- break the law or infringe another person's rights;
- harass, threaten, exploit or endanger another person;
- distribute malware or intentionally compromise systems;
- attempt to bypass security, access controls, rate limits or billing controls;
- submit secrets, credentials or highly sensitive personal information where it is not reasonably necessary;
- collect contact details from public-feedback respondents;
- send unsolicited marketing or research invitations without the required permission; or
- interfere with the Service or another user's use of it.
11. Plans, credits and subscriptions
Some features use credits or usage allowances. Credits are service units only. They are not currency, stored value or redeemable for cash.
The current price, included allowance, renewal period, expiration/reset rules and treatment of top-ups are shown in the applicable pricing page, checkout screen or institutional order. Those purchase-specific terms form part of these Terms.
Where the Service reserves credits for an AI or generation task and the task fails in a manner covered by Zorentia's billing logic, the reserved credits may be automatically restored. A credit restoration is not a monetary refund.
12. Payments, cancellation and refunds
Payments are processed using Zorentia's payment provider. Zorentia does not require you to provide card numbers or CVV directly to the Zorentia application when payment is completed through the hosted payment flow.
For recurring individual subscriptions, you may cancel through the available billing controls. Unless the purchase screen states otherwise, cancellation takes effect at the end of the current paid billing period.
Except where required by law or expressly stated at purchase, Zorentia does not provide change-of-mind or pro-rata refunds for an elapsed or partly elapsed subscription period. This does not limit any remedy or refund you are entitled to under the Australian Consumer Law or another law that cannot be excluded.
Institution fees, cancellation and refund arrangements are governed by the applicable Institutional Agreement and Order.
13. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies a consumer guarantee, right or remedy that cannot lawfully be excluded under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or under another applicable law.
Where a guarantee, condition or warranty is implied by law and liability can lawfully be limited, Zorentia's liability is limited, at Zorentia's option and to the extent permitted by law, to re-supplying the relevant services or paying the reasonable cost of having the services supplied again.
14. Availability and changes to the Service
Zorentia may maintain, improve, replace or discontinue features. We will not exercise this right in a way that unlawfully removes accrued consumer rights.
Where a material change would substantially reduce a paid feature during a current prepaid period, Zorentia will, where reasonably practicable, provide notice or an appropriate remedy. Changes required urgently for security, legal compliance or safety may take effect immediately.
15. Suspension and termination
Zorentia may restrict or suspend access where reasonably necessary because of:
- a material breach of these Terms or the Acceptable Use Policy;
- non-payment;
- a credible security, fraud, abuse or safety risk;
- a legal or regulatory requirement; or
- conduct that materially threatens Zorentia, its users or third parties.
Where practicable, we will give notice and an opportunity to remedy the issue. Immediate action may be necessary for serious security, safety or legal risks.
You may stop using the Service at any time and may use the available account-deletion process where eligible. Institution-managed users may first need to be offboarded from the institution before using the independent deletion route.
16. Account deletion and retained records
Account deletion removes active account and project data in accordance with Zorentia's deletion process, subject to limited records that must or reasonably should be retained for legal, accounting, fraud-prevention, security or opt-out purposes.
Deleted data may remain in encrypted rolling backups until those backups expire. The Privacy Policy describes current retention periods in more detail.
17. Liability
To the maximum extent permitted by law, Zorentia is not liable for indirect, incidental, special or consequential loss, loss of opportunity, loss of profit or loss caused by your failure to review, test, secure or back up generated software, except where such exclusion is prohibited by law.
For claims that can lawfully be limited, Zorentia's aggregate liability arising out of an individual paid account in any 12-month period will not exceed the fees actually paid to Zorentia for that account during that period.
This section does not limit liability to the extent it cannot lawfully be limited, including liability arising from fraud or wilful misconduct or rights and remedies that cannot be excluded under the Australian Consumer Law.
18. Changes to these Terms
Zorentia may update these Terms to reflect changes in law, the Service, security practices or business operations. Material changes will be brought to users' attention in a reasonable way and, where appropriate, Zorentia may require acceptance of a new version.
A materially adverse change to a current prepaid consumer subscription will not retrospectively remove rights already accrued under the prior version.
19. Governing law
These Terms are governed by the laws of New South Wales, Australia. You and Zorentia submit to the non-exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals from them.
If mandatory consumer law in another jurisdiction gives you rights that cannot be displaced by this clause, those rights continue to apply.
20. General
If part of these Terms is unenforceable, it will be read down or severed to the minimum extent necessary and the remainder will continue.
A failure to enforce a right is not a waiver of that right.
You may not assign your account or these Terms without Zorentia's consent. Zorentia may assign these Terms as part of a genuine corporate restructure, financing, sale or transfer of the Service, provided this does not remove non-excludable rights and reasonable notice is given where appropriate.
